Welcome to shop.wesolditout.com (the "Website"). These Terms and Conditions ("Terms") govern all transactions, purchases, orders, and use of the services provided by wesolditout ("Company," "we," "us," or "our") to you, the buyer ("Customer," "you," or "your").
By placing an order, purchasing inventory, or utilizing our distributor services, you explicitly agree to be bound by these Terms. If you do not agree, do not place an order.
1. Wholesale and "As-Is" Distribution
Business-to-Business Only:
Company is a wholesale distributor and liquidator. By purchasing, you represent that you are buying products for resale (e.g., live-selling, streaming, retail) and not as an end-consumer.
As-Is, Where-Is:
All inventory, pallets, lots, and products are sold strictly on an "AS-IS" and "WHERE-IS" basis.
No Guarantees on Yield:
While we strive to provide accurate descriptions of bulk manifests, Company makes no guarantees, express or implied, regarding the exact condition, individual functionality, retail value, or marketability of the items. Missing pieces, packaging damage, or minor defects are inherent to liquidation and bulk inventory, and you assume all risk.
2. Final Sale and No Refund Policy
All Sales Are Final:
Once an order is placed and processed through our direct payment gateway, no cancellations, returns, refunds, or exchanges will be permitted for any reason.
Chargeback Protection:
Customer agrees not to initiate any chargebacks or payment disputes with their credit card issuer or bank. Any unauthorized chargeback will be considered a breach of contract, and Customer will be liable for all administrative and legal fees incurred by Company to resolve the dispute.
3. Absolute Limitation of Liability
No Liability for Losses:
To the maximum extent permitted by applicable law, Company, its owners, officers, and employees shall NOT be held liable for any direct, indirect, incidental, punitive, or consequential damages resulting from your purchase, the use of the products, or your ability/inability to resell the products.
Cap on Financial Liability:
In no event shall Company's total liability to you for any claim, lawsuit, or dispute exceed the exact dollar amount paid by you to Company for the specific order in question.
4. Shipping, Risk of Loss, and Delivery
FOB / Shipping Risk:
All shipments are sent Free on Board (FOB) shipping point. This means risk of loss and title to the goods passes to you the exact moment the inventory leaves our warehouse or is handed to the shipping carrier.
Carrier Issues:
Company is not responsible for transit delays, lost shipments, carrier negligence, or weather-related damages. Any claims for shipping damage must be filed by the Customer directly with the shipping carrier.
5. Independent Platform & Third-Party Rules
Platform Compliance:
Customer acknowledges that they are independently responsible for complying with the rules, guidelines, and terms of service of any third-party platforms they use to resell the inventory (including, but not limited to, TikTok Shop, Whatnot, or eBay).
No Affiliation/Liability for Bans:
Company is a separate entity and is not liable if a third-party platform restricts, suspends, or bans your seller account due to the products sold, brand restrictions, or your streaming activities.
6. Indemnification (Protecting the Company)
You agree to indemnify, defend, and hold harmless Company and its affiliates from any claims, damages, liabilities, costs, or lawyer fees arising out of your resale of the products, any claims made by your end-customers, or your violation of any laws or these Terms.
7. Governing Law and Dispute Resolution
Florida Jurisdiction:
These Terms and all transactions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
Mandatory Arbitration:
To prevent costly legal battles, you agree that any dispute or claim arising out of your transaction with Company that cannot be settled amicably will be resolved through binding arbitration in Orange County, Florida, rather than in a court of law. You waive any right to participate in a class-action lawsuit.
